There are, however, ways to hone your focus: that is, there are ways to write better, more interesting stories that will captivate an audience. The three things I look for in my own storiesâ€"whether fiction or nonfiction, essay or short story, novel or scribbling on the bathroom wallâ€"are Urgency. The first sentence has one job: make the reader want to read the second. Hence, the second sentence must make the reader want to read the third. So forth and so on. If a sentence doesnt fuel a storys urgency, it must be cut. Details. God is in the details. But so is the devil. Details, even minute ones, are incredibly important; they give your story life. Ergo, its important to know which details matter and which details are junk. Superfluous details slow down an otherwise interesting story. So whats a would-be storyteller to do? Cut a detail to see if it takes away from the story or makes it better or more urgent. Fun or funny. Every good story is either fun or funny (or both). Said another way, a story is fun when it is engaging, when it has a payoff, when it makes you think differently. Its funny if it  elicits  emotion, if you laugh, smile, or cry. A good story must make you feel something. Thus,  I always ask myself this question: does this story feel alive to me? If it does, then Im doing my job correctly. Dear LSAT taker if you are hurting, read this

One morning in November 2016, I sat on a 36 Broadway bus heading southbound towards the downtown loop. It was a cold morning in Chicago, sometime around 4:45 a.m. The bus was empty, save the bus driver and me. I was three months into LSAT preparation, a process (for reasons unknown to God and Man) I took on while working a full-time job at a law firm. I was listening to the same â€Å"Motivational† playlist that I created when I started taking a full LSAT practice test every morning before work, but that morning, I had already heard the tracks too many times for them to do any â€Å"motivating.† The tracks were tired. So was I. And as I sat there in my work clothes, pouring over my PT from the prior morning to fill myself with some inspired thought that would push me through the scoring plateau I was in, I started to cry. The LSAT is a uniquely stressful exam. I experienced that stress firsthand, and I have seen it play out in my students through their neuroticism, despondency, and yes, tears. So if you are hurting, tired, without hope, afraid†¦ I have a message for you: You are exactly where you are supposed to be. You would not be in this place if you did not care. If you were one of the students that take the LSAT â€Å"cold† and allow that score to determine their next steps in life, you certainly would not feel this emotional low. Here’s something else: even as you read about those students who are carefree and take the LSAT cold, you still would choose to be where you are than to be acting as if the LSAT is not important. That’s how much this test matters to you. Own that, and acknowledge the virtue of it. You show me someone with enough grit to push beyond the limits of their psyche for what matters to them; I’ll show you someone who will make one hell of an attorney. You are hitting a moment that many, many students who came before you (and ultimately achieved their LSAT dreams) have hit. Often, things turn around more quickly than you might think. About two months after that morning on the bus, I received my LSAT score: 177. It would have meant so much to me to know what was just around the corner on that morning bus ride. I imagine how quickly my despair would have turned to ecstasy. But it didn’t, because wasn’t sure how things would turn out. Neither are you. But I can tell you that the more you hurt, the more I would bet on your success. You have found something that matters to you! My God, hold onto that. You are in a tough spot, but you will find your way through. Don’t give up. Learn from this place, this time. Love yourself, and realize that it is human to struggle, especially when the stakes *feel* this high. Accept yourself as you are today. And remember this moment. Though it may sound as crazy to you as it would have sounded to me two and a half years ago†¦ You might have to write an article about it one day. In Satyam fiasco, fraudulent schemes were floated while inflated balance sheets. Deceiving the shareholders regarding its profits, the company officials had flouted almost all the fiduciary duties. A New Beginning: Statutory Framework in India à ¢Ã¢â€š ¬Ã…“Representative suitsà ¢Ã¢â€š ¬Ã‚ [11] and Public Interest Litigation (PIL)[12] were the only recourses available to the shareholders to enforce their rights against the company prior to the enactment of 2013 Act. Section 245[13] as enshrined under Chapter XVI (à ¢Ã¢â€š ¬Ã…“Prevention of Oppression and Mismanagementà ¢Ã¢â€š ¬Ã‚ ) of 2013 Act introduces the concept of CAS. Accordingly, it can be initiated under two situations, as namely: If the management of the company is being conducted in a manner prejudicial to the interest of the company, as provided under Section 245(1) or; in case of misleading statements in the prospectus, as stipulated under Section 34 to 36 of 2013 Act. These provisions deal with mis-st atement in prospectus and the criminal as well as civil liability associated with it. Section 245(1) enumerates the grounds for initiating CAS. These include restraining company from going beyond Memorandum, Articles or provisions of law, passing and acting on a resolution on the basis of suppression of material facts. The scheme of CAS, being a representative suit, stipulates a threshold required to be met for filing an application under Section 245(3) of 2013 Act. An application can be filed by hundred or more members of a company having share capital or a percentage of shares cumulatively held by aggrieved members as may be prescribed, whichever is less.[14] Any shareholder holding shares above this prescribed limit can file an application, provided these shares are fully paid up.[15] In cases involving a company having no share capital, an application is required to be filed by one-fifth of its total members.[16] An application can further be filed by hundred or more deposito rs of a company or group of depositors constituting the prescribed percentage, whichever is less. Furthermore, depositor(s) who has invested certain percentage of the total deposit as prescribed is eligible to file an application.[17] The procedure after admitting the application is provided under Section 245(5). It is initiated by service of a public notice to all the members or depositors of the company. Subsequently, all admitted applications are combined into a single application and all members or depositors are conferred freedom to collectively decide the lead applicant. If the members or depositors of the class are unable to come to a consensus, the National Company Law Tribunal (NCLT) is empowered to appoint an applicant who shall be in-charge of the proceedings on behalf of applicants.[18] No parallel application for the same cause of action is allowed under Section 245(5) (c). Moreover, the cost of proceedings is required to be compensated by company, and in case of suc cessful claim, by the fraudulent person. Company and all persons associated with it are bound by the order passed by NCLT.[19] In the event of failure to comply with the order, the company shall be punished with fine which shall not be less than rupees five lakh but may extend to rupees twenty-five lakh.[20] In respect of à ¢Ã¢â€š ¬Ã‹Å"every officer of the company who is in defaultà ¢Ã¢â€š ¬Ã¢â€ž ¢[21], the punishment covers imprisonment for a term which may extend to three years and with fine which shall not be less than rupees twenty-five thousand and more than rupees one lakh.[22] Additionally, the concept of CAS does not apply to Banking Company.[23] The provisions of Sections 337 to 341 of 2013 Act, which deal with liability of certain company officials for committing fraud during winding up mechanism, are to apply mutatis mutandis[24] in relation to an application made to NCLT. The legal expenses incurred while pursuing class action by members under Sections 37 and 245 can be reimbursed from Investor Education and Protection Fund, provided it is authorized by NCLT.[25] As per SEBI (Investor Protection and Education Fund) Guidelines of 2009, Investor Protection and Education Funds are required to be maintained by Securities Exchange Board of India (SEBI) for aiding legal proceedings taken by the investor associations that are registration. Clause 5(2)(d) of the Guidelines provides for à ¢Ã¢â€š ¬Ã‹Å"aidà ¢Ã¢â€š ¬Ã¢â€ž ¢ to investorsà ¢Ã¢â€š ¬Ã¢â€ž ¢ associations, that are recognized by SEBI. Accordingly, investors are provided financial assistance to undertake legal proceedings for safeguarding their interest in securities that are listed or proposed to be listed on any of the recognized Stock Exchanges.[26] Notably, the ambit of the term à ¢Ã¢â€š ¬Ã‹Å"aidà ¢Ã¢â€š ¬Ã¢â€ž ¢ is broad enough and hence can be interpreted to cover litigation cost under CAS. Due to similar wordings of the provisions under Sections 245 and 241, class action is misread with provisions governing oppression and mis-management. An application under Section 241against oppression and mis-management can only be filed by members of the company whereas, under Section 245, both members and depositors can file applications.[27] Even though both provisions provide certain thresholds, it is worthy to note that the NCLT has discretion to waive threshold in cases dealing with oppression and mis-management.[28] While applications under Section 241 can be filed against the company and its statutory appointees, Section 245 applications can be filed against the company, any of its directors, auditor, including audit firm, expert or advisor or consultant or à ¢Ã¢â€š ¬Ã‹Å"any other personà ¢Ã¢â€š ¬Ã¢â€ž ¢.[29] Application under Section 241 is restricted to past, present or recurring activity. However, the scope of remedy for CAS is wide enough to cover future actions of the company. Essentially, the rationale for having distinct provisions for class acti on and recourse against oppression and mis-management was that, although majority of cases for oppression and management were entertained by Company Law Board (CLB), the scope of these cases failed to cover all forms of fraudulent conduct by defaulter or any person who may be associated with the company. Offshoot of Corporate Governance: Revolutionary or Hollow? Clearly, the new provision under Section 245 lacks clarity which, in turn, erodes its effectiveness. The scope of the term à ¢Ã¢â€š ¬Ã‹Å"depositorà ¢Ã¢â€š ¬Ã¢â€ž ¢ has been restricted to circumstances that involve acceptance of à ¢Ã¢â€š ¬Ã‹Å"deposità ¢Ã¢â€š ¬Ã¢â€ž ¢[30]. The rationale for explicitly excluding the depositors who are in consultation with Reserve Bank of India cannot be logically comprehended as there may only be negligible considerations distressing the component of deposit. Moreover, the provisions for CAS clearly allow piercing the corporate veil by allowing members to take action against auditors, expert or any other person who have a contract with company. This breaches the privity of contracts executed by the company and such persons. Section 245 fails to provide opt-out mechanism for the investor who may choose to move NCLT individually. In United States, if an investor is not satisfied with settlement made on his behalf, he/she is conferred the option to opt-out of the proceedings.[31] Further, contingency fee is allowed for in United States. This incentivizes investors to combine their claim and initiate collective proceeding.[32] On the contrary, as per Bar Council of India Rules and Advocates Act of 1961, contingency fee not permitted in India. Furthermore, Courts have been following the practice of awarding cost in favor of winning party. Consequently, the losing party is required to incur all costs which is undoubtedly an additional burden sanctioned by Court. Therefore, if plaintiff-investors lose CAS, they are required to sustain huge losses comprising of the l itigation fees, investment in the company and defendantà ¢Ã¢â€š ¬Ã¢â€ž ¢s litigation cost. Section 245 fails to provide limitation period. Moreover, the compensation awarded as a group may be argued to be less as compared to the individual case. VI. Conclusion CAS will strengthen investorsà ¢Ã¢â€š ¬Ã¢â€ž ¢ protection and will retain investor confidence. The power given to the members will deter auditors, experts, directors and advisors from being flouting the accuracy of financial data and promote quality of its reporting. The major advantage of CAS is out-of-court proceedings before a specialized forum like NCLT. The adjudication of disputes before NCLT promises efficiency and less consumption of time. This consideration, however, will be diminished by the lack of certainty within relevant CAS provisions. Consequently, the numerous discrepancies will make recurrent Court proceedings a commonplace. While considering the cost of coordinating and filing suit, the scheme of CAS is necessary to be inculcated within the practice of investor associations. When we buy a Barbie, she just looks like the other Barbie dolls with same faces, same body shapes, same outfits or even same colors of hair. However children have their freedom to make her become different. Whether she will become a unique doll depends on children’s hands and minds. If they want Barbie to be different, they have to figure out and act. It is the way Barbie motivates children’s minds in imaginative acts. Holding Barbie in their hand, they can start to change the appearance of Barbie by typing her hair up with rubber brands, make braids or change Barbie hair lengths by cutting shorter too. The Effect of Endorphins on Pain free essay sample

Neurotransmitters are chemicals located in the brain that are responsible for communication of the information between and throughout the brain and the body. They send and transport signals via nerve cells (neurons). Without neurotransmitters our organism wouldnt have the ability to function because they are responsible for the operations in our body. In past decades, numerous experiments were done to prove that and to find more about the neurotransmitters. In 1987, Dr. Jon Levine of the University of California in San Francisco found out that placebo can be expressed as chemical. In other words, he believed that the brain can produce neurotransmitters that can act as pain-killers, therefore in some cases, the mentioned neurotransmitters may trick the organism to believe they were given a certain drug treatment that will relieve pain. They were told that the pills were regular everyday pain-killers, but truly they were ordinary sugar pills. The experimenters divided the participants in two groups (independent sample). The participants in both groups were experiencing some form of pain after the same or similar dentist appointment. The participants in the first group were given one sugar pill and were told that the pill was a pain-killer. Then, the participants in the second group were also given a sugar pill, but they were also given a pill containing a chemical called naloxone which prevents the production of endorphins and therefore no placebo effect would occur (they were possibly told to take two because of the amount of pain). * Dr. Levine believed that if they were given naloxone, this would stop the production of endorphin and thus there would be no chemicals that would suppress the feeling of pain. *the number of participants in each group was not available The findings were similar as his hypothesis. The participants from the first group didnt feel any pain after taking the pill because the endorphins were produced and acted as opiates to prevent any further pain. In the second group the participants told the experimenter that they were still experiencing pain, which was expected because the chemical naloxone prevented the production of endorphins and the participants underwent no treatment with opiates whatsoever. With additional studies, dr.Levine concluded that the effect of the placebo possibly equals to 8 milligrams, which is an amount of morphine that will surely suppress pain in a human. Dr. Levine concluded that human behavior can be influenced using placebo. If someone was told that a certain substance the person is intaking will help him feel better or different, the persons brain will act according to it. The person taking the substance has expectations regarding the use of the substance – the person will expect to feel better just by taking the pill and therefore automatically feel better. Dr. Levine suggested a reasonable justification – the naturally-produced chemical endorphin is responsible for these operations. The advantage of this study is that it is easy to draw results from it. We knew how placebo worked, but not why. By determining that endorphins are responsible for placebo, we need to justify that. In both cases there would be production of endorphins if just the sugar pill was given and with the production of endorphins the relieving of pain. To see if endorphins have something to do with placebo, we have to reject the endorphins and see if there will be any change. To reject the production of endorphins the experimenter used naloxone and saw that there was no placebo-effect if there was no production of endorphins. The possible disadvantage would be that there can be other factors along with endorphins that influence the placebo-effect about which the experimenter does not know. The findings are widely used today. The endorphins are also popular because they are linked to happiness, excitement, pain, etc. We always tell people to rather feel happy and cheerful when theyre experiencing pain psychologically or physically because that would help them. During that time he led the unforgettable March on Washington where he delivered his famous "I Have a Dream" speech to millions of viewers across the nation. The next year he was awarded the Nobel Peace Prize. He went on to launch his first major northern campaign in Chicago. Black Baptists were there opposing him, and a mob of Ku Klux Klan members and Neo-Nazis met his marchers. With all that he had said and done, on April 3, 1983, he said: "I have been to the mountaintop and seen the promised land." Sadly, the following day he was shot to death in Memphis Tennessee. Nearly 500,000 of his loyal admirers attended his funeral. It was the end of his civil rights crusade. Prejudices always have and will always exist among people. How to Prepare for the SAT 10-Step Guide SAT / ACT Prep Online Guides and Tips You know you need to take the SAT. Maybe you’ve even registered. But what now? How do you prepare? If you’re not sure where to begin or how to prepare for the SAT, this is the guide for you. First we’ll go over what you’ll need to do to prepare for the test. Then, we’ll discuss some methods you might use for preparing for the SAT. We’ll wrap up with some resources that you might find helpful. How to Prepare for the SAT: 10Main Steps In this section, we’ll go over the general steps you’ll need to take to get ready for the SAT, all the way from registration to test day. This is aimed primarily at self-studiers, but a good tutor or program will walk you through these same steps. #1: Register for the SAT If you haven’t already registered for the SAT, you can register at the College Board website. You’ll need to create an account with them to register if you haven’t already. You’ll be able to select from different locations and dates. Try to pick a location that’s not too far away, since you’ll have to drive there the morning of the test! In terms of date, you want to make sure you give yourself enough time to prepare. If you’re totally unfamiliar with the SAT, I would advise picking a date at least three months in advance if possible. If you have to work on a compressed timeline because of application deadlines, you can do that too! You’ll just need to expect to spend more time preparing every week for a shorter number of weeks. You do need to do more than just push a button, but it's still easy to register #2: Get Oriented to the Overall Structure and Format of the SAT Next, you’ll want to become oriented to the overall structure of the test. The SAT is out of 1600 points distributed into two chunks: 800 points for the Math section, and 800 points for Evidence-Based Reading and Writing (made up of a Reading test and a Writing test). The lowest possible score is 400 points (200 on each section). The essay section is optional and is separately scored out of eight points in three domains, making the max essay score 24. Most of the test (aside from the optional essay) is comprised of multiple choice questions with four answer choices. However, some of the math questions are â€Å"Grid-Ins,† or â€Å"Student-produced responses,† which require you to calculate an answer and then grid it in a special section on your scantron. This handy chart tells you the order, number of questions, and time for each section. Additionally, the SAT has a particular style of asking questions that you’ll want to become closely familiar with. Thus, each section has its own distinct set of question types and formats that you will face on test day. How to prepare for SAT math will be different than how to prepare for SAT reading, which will be different than how to prepare for SAT writing! How to write an SAT Essay SAT questions have their own special feel, just like this grass. #4: Pinpoint Your Weaknesses Once you feel generally oriented to the test, you’ll want to figure out what areas you’re weak in and set a baseline. The best way to do this is to take a complete, timed practice test. Luckily for you, the College Board has released more than six free practice tests. Be sure to find a quiet testing environment, and bring lots of scratch paper and an approved calculator! You want the conditions to be as test-like as possible. If you’re signed up to take the essay, you should also write a practice essay as part of your practice test run. (See our advice on how to decide whether you need the SAT essay.) Once you’ve taken the practice test, use the provided scoring guidelines to figure out your score. This will help you figure out what your strengths and weaknesses are. The sections where you did best are clearly your stronger ones, but you can also get more granular than that. Look back through the test to see which questions you missed and note down any patterns. Did you miss all of the data interpretation questions on reading? All the trig on math? Those are question types (and skill areas) you need to work on. The SAT also provides guidelines on calculating your subscores in different areas. You can use this to get an additional idea of what particular areas you are strongest and weakest in within a section. Work your weakest SAT muscles! #5: Set a Score Goal Once you have an idea of your baseline, set a goal score! You’ll want it to be something you can realistically accomplish in the time frame you have for preparing for the SAT. A 100-point improvement from your baseline in a month is probably doable; a 300-point improvement in that time frame is much less so. And remember that the more you want to improve your score, the more time you’ll have to put into it! Our rough estimates for point improvement are as follows: 0-30 point improvement: 10 hours 30-70 point improvement: 20 hours 70-130 point improvement: 40 hours 130-200 point improvement: 80 hours 200-330 point improvement: 150 hours + Your target score should also take into account the schools that you’re interested in attending. You want to be within their middle 50% if possible. The middle 50% describes the score range of the 25th-75th percentile of admits. So if a school’s middle 50% is 1050-1200, then 25% of admits scored below 1050, 50% scored between 1050 and 1200, and the top 25% scored above 1200. You’ll probably want to spend a consistent amount of time every week studying until you take the test. For example, if you think you’ll need to study 50 hours to make your score goal, and the test is in 10 weeks, try to study about 5 hours a week for 10 weeks. This will help keep you moving and making progress at a steady pace. It’s also best if you set aside specific, scheduled blocks of time in advance. So maybe you’ll do one hour after school every day, or you’ll plan to spend 2.5 hours on Saturday morning and 2.5 hours on Sunday morning every week prepping for the test. By setting consistent, scheduled times, it will help make studying into a habit. And make sure somebody else knows your study schedule so they can hold you accountable! Learn any material you need for the test that you don’t know yet, and review what you already know. Target the areas you know you’re weak in, but don’t neglect anything. So if you’re weak in Math, it’s fine to spend more time on it, but you should still spend a little time preparing for the SAT Reading section even if it’s your best subject. This is why it’s important to have someone else know when you plan to study so they can help hold you accountable. It can be a lot of work! If you have a lot of improvement to make, it may be hard for you to self-diagnose your own weaknesses. Or even if you know that you’re, say, very weak on math, you may not know exactly where to begin or how to attack the situation. Sometimes guidance is necessary! Additionally, a goodprogram will help you create a study plan and track your progress. It will also have high-quality, clear content review and practice questions. The quality of the teacher also makes a huge difference here. A teacher who is invested in everyone’s experience and tries to adjust curriculum to meet class needs can help you improve your score. A bad teacher may just stand in front of the class reading vocab word definitions for two hours. And unfortunately, you have basically no control and no way of knowing if you’ll get a good teacher or bad one when you sign up for the class. Test prep courses are expensive! It can be more expensive than hiring a private tutor for a limited number of hours, which may frankly be more worth your money. On the bright side, you can use any downtime in class to look up cute cat photos. Private Tutor Having your very own tutor for the SAT sounds like the dream, right? Here are the pros and cons. Pros A good tutor is truly invaluable.They’ll help you make a study plan, identify your weaknesses, explain concepts you’re shaky on, and help you come up with an SAT strategy that works best for you. From a high-quality tutoring professional, tutoring both provides you with an expert to guide you and takes the guesswork out of creating a study plan. Additionally, a tutor can help keep you motivated! Cons A sub-par tutor is aserious waste of time and money. If they aren’t a high-scorer (think 95th percentile at the very least) who’s also a great teacher, the tutoring situation is just the blind leading the blind. You want a true professional who knows the test inside and out. Private tutoring is expensive!Thus, this option just isn’t available to everyone. A good tutor is worth their weight in gold, and also costs that much.
